RESOLUTION 2005 - 10

The Board of Trustees of Miami Township, Clermont County, Ohio met in special session at the Miami Township Civic Building on March 1, 2005 with the following members present: Mary Makley Wolff, Edwin H. Humphrey and Ken Tracy.

MR. TRACY made a motion to adopt the following Resolution:

RESOLUTION ENTERING INTO A CONTRACT FOR ADDITIONAL LEGAL SERVICES, DISPENSING WITH THE SECOND READING

WHEREAS, this Board of Township Trustees ("Board") is authorized by Section 309.09(B) and Section 504.15 of the Ohio Revised Code to employ an attorney other than the township law director for particular matters to represent the township and its officers in their official capacities and to advise them on legal matters; and

WHEREAS, the Board finds it to be in the best interest of Miami Township to enter into a contract with Peck, Shaffer and Williams LLP to provide additional legal services to Miami Township.

WHEREAS, Section 309.09(B) provides that no such attorney may be employed except on the order of the Board, duly entered upon its Journal, in which the compensation to be paid for the attorney's legal services shall be fixed.

NOW, THEREFORE, BE IT RESOLVED by the Board of Trustees of Miami Township, Clermont County, Ohio by authority of Chapter 504 and Section 309.09(B) of the Ohio Revised Code, as follows:

SECTION 1. That Peck, Shaffer and Williams LLP is hereby employed as additional legal counsel for Miami Township according to the terms and conditions set forth in the Legal Services Contract, Exhibit A hereto, which Exhibit A is by this reference incorporated herein.

SECTION 2. That the Township Administrator is authorized to enter into the Legal Services Contract on behalf of the Board.

SECTION 3: The Board does hereby dispense with the requirement that this Resolution be read on two separate days, pursuant to Section 504.10 of the Ohio Revised Code, and authorizes the adoption of this Resolution upon its first reading.

SECTION 4: That this Board hereby finds and determines that all formal actions relative to the passage of this Resolution were taken in an open meeting of this Board, and that all deliberations of this Board and of its Committees, if any, which resulted in formal action, were taken in meetings open to the public, in full compliance with applicable legal requirements, including Section 121.22 of the Ohio Revised Code.

SECTION 5: This Resolution shall take effect at the earliest period allowed by law.

First Reading: March 1, 2005
Second Reading: Dispensed with
Effective: March 31, 2005

MR.HUMPHREY seconded the motion to adopt the Resolution. On the roll call being called the vote resulted as follows:
